11. FREIGHT PAYMENT: 10% OF TOTAL FREIGHT AS DEPOSIT SHOULD BE PAID TO OWNER`S NORMINATED  ACCOUNT  WITHIN 3 BANKING DAYS  AFTER CHARTER PARTY SIGNED (OR FIXTURE NOTE SIGNED). IF DEPOSIT IS NOT PAID, OWNER HAS RIGHT TO WITHDRAW THIS FIXTURE NOTE AT ANY TIME. TOTAL FREIGHT AND DEMURAGE IF ANY AT LOADING PORT LESS THE PREPAID DEPOSIT SHALL BE PAID WITHIN THREE(3) BANKING DAYS AFTER COMPLETION OF LOADING AND AFTER SIGNING/RELEASING OB/L MARKED "FREIGHT PAYABLE AS PER CHARTER PARTY" , BUT ALWAYS BEFORE BREAKING BULK. AND OWNER HAS RIGHT TO REFUSE DISCHARGED OR DELIVERED CGO IF TTL FRT AND DEM ARE NOT PAID AND ANY LOSSES DUE TO THIS ACCIDENT TO BE FOR CHTR ACCOUNT.THE FREIGHT SHALL BE DEEMED EARNED AS CARGO IS LOADED ON BOARD AND SHALL BE DISCOUNTLESS AND NON-RETURNABLE, WHETHER VESSEL AND/OR CARGO LOST OR NOT LOST.

 11.1 OWNER’S BANK ACCOUNTT/T  Remittance route USD) :

 11.2 CHARTERER GUARANTEE THAT CARGO AND THE DOCUMENTS MUST BE READY FOR LOADING BEFORE VESSEL’S ARRIVAL AND COMMENCE LOADING  W/I 3 DAYS UPON NOR TENDERED. IF VESSEL FAILS TO COMMENCE LOADING AS PROMISED BY CHARTER, CHARTERER SHOULD PAY DEMURRAGE USD---------EVERY 3 DAYS ADVANCE .OTHERWISE OWNER HAS RIGHT TO WITHDRAW THE VESSEL WITH NOTICE BY TELEX OR FAX WITH THE DEPOSIT EARNED.  IF LAYTIME RUN OUT VESSEL ENTERS DEMURRAGE, CHARTERERS SHALL PAY OWNER DEMURRAGE USD 30000 EVERY 3 DAYS, FAILING WHICH, OWNER HAS RIGHT TO WITHDRAW THE VESSEL WITH DEPOSIT EARNED. 
12. DEMURRAGE/DESPATCH: USD-------/ HD PER DAY OR PRO RATA AT BOTH ENDS. DEMURRAGE OR DESPATCH IF ANY AT LOADING PORT TO BE PAID TOGATHER WZ FRT, THE DEM AND DES AT DISCHG PORT IF ANY TO BE SETTLED AND PAID WITHIN 5 DAYS AFTER COMPLETION OF DISCHARGING AND OWNERS PRESENTATION OF THE LAYTIME CALCULATION/SOF AND NOR. ONCE ON DEMURRAGE, ALWAYS ON DEMURRAGE.

13.LIGHTERAGE AND LIGHTENING IF ANY SHALL BE FOR CHARTERERS’ ACCOUNT.

14.TAX/DUES ON CARGO SHALL BE FOR CHARTERERS’ ACCOUNT. SAME ON VESSEL
/FREIGHT SHALL BE FOR OWNERS’ ACCOUNT. 

15.OWR/MASTER/OWR’S AGENT SHALL ADVICE 7/5/3/2/1 DAYS BEFORE ARRIVAL AT LOADING/DISCHARGING PORT

16.OWNERS GUARANTEE VESSEL’S CRANES/DERRICKS/GRABS ARE IN GOOD WORKING ORDER. (IN CASE VSL CRANE/GRAB BREAKDOWN, OWNER SHOULD RESPONSIBLE FOR REPLACEMENT

 17. OAP IF ANY SHALL BE FOR CHARTERER’S A/C.

 18. DECK CARGO AND COMBINE CARGO SHALL NOT BE ALLOWED

 19. THE VSL IS DULY CLASSSED/P&I COVERED DURING THIS VOY. FITTED WZ GEARS/GRABS FREE USE TO CHTRS, SUITABLE FOR GRAB LDG,CARGO SHALL BE LOADED IN ANY CARGO COMPARTMENTS INACCESSIBLE FOR GRAB OPERATION.

 20.BILLS OF LADING SHALL BE SIGNED BY CAPTAIN OR OWNERS’ AGENT.

21. CHTR AGT AT LOADPORT WZ REASONABLE P D/A ACCPTABLE BY OWNER: 

22.IN ABSENCE OF ORIGINAL BS/L AT DISCHARGING PORT, MASTER/OWR/OWR’S AGENT SHALL ALLOW CARGO TO BE DISCHARGED AGAINST CHARTERER`S  LOI IN OWR’S STANDARD  P&I CLUB WORDING . BUT RELEASED ALWAYS AGAINST ORIGINAL BS/L .

 23.LAYTIME SHALL COMMENCE FROM 12 HOURS AFTER NOTICE OF READINESS HAS BEEN GIVEN ,UNLESS LOADING/DISCHARGING SOONER COMMENCED,IN WHICH CASE THE ACTUAL TIME USED TO BE COUNTED AS LAYTIME. NOR CAN BE TENDERED BY MASTER OR AGENT UPON VSL’S ARRIVAL AT OUTER ANCHORAGE OF LOADING PORT, AT THE DISCHARGING PORT, NOR TO BE TENDERED AT WAITING PILOT ANCHORAGE, BY CABLE OR EMAIL ANYTIME,W.W.W.W.,SHINC.LAYTIIME CEASE TO COUNT UPON COMPLETE LOADING OR DISCHARGINGBUT THE DRAFT SURVEYING SHOULD BE ARRANGED IN TIME,OTHERWISE,THE TIME FOR AWAITING SURVEYOR SHOULD BE COUNTED.

 24. ANY DISPUTES UNDER THIS FIXTURE NOTE TO BE REFERRED TO ARBITRATION IN HONGKONG ACCORDING TO ENGLISH LAW.

25. CHARTERER TO ENSURE CARGO IS HARMLESS/ NO SELF-BURNING, AND NON-DANGEROUS, AND LOADED/CARRIED/STOWED/DISCHARGED IN ACCORDANCE WITH BC CODE AND IMO REGULATION AND THAT ONLY COAL IS THE ONLY CARGO TRANSPORTED.

26. CHARTERER TO ENSURE THAT SAFETY MEASURES ARE IN PLACE IF TRANSHIPMENT IS REQUIRED AT LOAD/DISCHARGE PORT.
